Welcome to Leadport Teknoloji A.Ş. ("Leadport," "we," "us," or "our"). These Terms and Conditions govern your use of our AI-powered lead and call management services. By accessing our services, you agree to comply with these terms.
2. DEFINITIONS
Services: AI-driven lead and call automation tools provided by Leadport.
User: Any individual or business using our services.
Account: A registered profile used to access Leadport’s services.
Content: Any data, text, or other material uploaded, submitted, or transmitted through our services.
Subscription: Paid access to Leadport services under defined conditions.
3. CONTRACT FORMATION
By registering for or using our services, you enter into a binding agreement with Leadport. If you do not accept these terms, you must discontinue using our services.
You affirm that you are more than 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. If you are under 18 years of age, then please do not use our website or our Service.
By connecting to us with a third-party service (CRMs and integrations in general, e.g., Pipedrive, HubSpot, Zoho, Zendesk, Salesforce, Intercom, or any other we have), you give us permission to access and use your information from that service as permitted by that third-party service, to present the information stored in that service to better display information on your Leadport account, and to store your log-in credentials for that third-party service. The Service is not available to any User who has been removed from the Service by us.
4. USER OBLIGATIONS AND ACCEPTABLE USE
Users must:
Provide accurate information and update it as necessary.
Use our services only for lawful purposes.
Not engage in prohibited activities as listed in our policies.
Prohibited activities include, but are not limited to:
Attempting to gain unauthorized access to our systems.
Using bots or automated tools to manipulate our services.
Engaging in fraudulent, deceptive, or misleading behavior.
Uploading viruses, malware, or any harmful content.
Violating intellectual property rights of Leadport or third parties.
5. INTELLECTUAL PROPERTY RIGHTS
All intellectual property related to Leadport’s services remains our exclusive property. Users may not reproduce, modify, or distribute any content from our platform without written permission.
6. CONFIDENTIALITY
Users must keep any confidential information obtained through the services private and not disclose it to third parties.
7. PRIVACY AND DATA PROTECTION
7.1. Compliance with Data Protection Laws
Leadport processes user data in accordance with its Privacy Policy and all applicable data protection laws, including but not limited to GDPR and CCPA. Users acknowledge and agree to comply with the data protection terms outlined in the policies of Leadport and its third-party service providers, including:
The User acknowledges that it shall be solely responsible for obtaining all necessary consents from its customers and prospective customers regarding the collection, processing, and sharing of their personal data. Leadport acts solely as an intermediary platform and has no direct interaction with the User’s customers or prospective customers. Therefore, it is the User’s responsibility to fulfill all data protection obligations, including but not limited to:
Providing required privacy notices and obtaining explicit consent when necessary,
Ensuring compliance with commercial electronic communication regulations,
Ensuring that employees and business partners comply with applicable data protection regulations.
7.3. Data Processing by Leadport
Leadport processes and stores various types of user data, including user account details, customer interaction records, and service usage logs. The User acknowledges that Leadport may process personal data through automated or non-automated means, including but not limited to:
Collection, recording, storage, retention, modification, reorganization, disclosure, classification, and restriction of use.
7.4. Data Security and Breach Notification
Both Parties agree to take all necessary technical and administrative measures to prevent the unlawful processing, unauthorized access, and misuse of personal data. If either Party suspects or becomes aware of a data breach, it shall immediately notify the other Party in writing and take all necessary preventive measures.
7.5. User Rights and Data Requests
Users have the right to request access, correction, or deletion of their personal data under applicable privacy laws, including GDPR and CCPA. To exercise these rights, users may contact [email protected].
7.6. Data Retention and Deletion
Upon the User’s written request, Leadport shall securely delete or return all copies of any personal data it holds related to the services provided under this Agreement in a permanent and secure manner.
7.7. Indemnification for Data Breaches
If either Party, its employees, or subcontractors violate the data protection obligations outlined in this Agreement, resulting in damages to the other Party, the breaching Party shall be fully liable for any direct or indirect losses, including regulatory fines, compensation claims, and reputational damages.
7.8. Continued Validity
The obligations outlined in this Privacy and Data Protection section shall remain in effect indefinitely, regardless of the expiration or termination of this Agreement.
8. SERVICE ACCESS AND AVAILABILITY
We strive to maintain uptime but do not guarantee uninterrupted access.
Maintenance and updates may temporarily affect service availability.
Leadport is not responsible for third-party service interruptions.
9. PAYMENTS AND BILLING
Payments for Leadport services are processed securely via Paddle, our authorized payment provider.
Subscriptions automatically renew unless canceled before the renewal date.
Refunds are only provided where required by law.
Users must ensure that their billing information remains up-to-date.
10. LIMITATION OF LIABILITY
Leadport is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid for services in the preceding 12 months.
11. TERMINATION
Leadport may suspend or terminate accounts that violate these terms. Users may terminate their accounts at any time.
12. THIRD-PARTY SERVICES
Leadport may integrate with third-party applications (e.g., CRMs, analytics platforms).
Users acknowledge that these services have separate terms and privacy policies.
Leadport is not responsible for third-party service failures.
13. OTHER SERVICES OFFERED BY LEADPORT
Leadport provides users the ability to make, receive, and forward voice calls using a phone number provided by Leadport (the "Leadport Phone Number") and/or an application. Leadport is not a "dial-tone" provider and is not a replacement for any phone lines, whether wired, wireless, or internet-based. The Leadport Service allows you to place outgoing calls, instant lead callback calls, and incoming call routing (both national and international), but selected numbers and services may not be reachable through the Leadport Service, and Leadport does not guarantee that all numbers available worldwide can be called from the Leadport Service. In particular, the Leadport Service does not support any emergency calls to any type of hospitals, law enforcement agencies, medical care units, or any type of emergency services of any kind, which need to be performed from your local phone service provider. It is your responsibility to inform your Users that it is not possible to support or carry emergency calls using the Leadport Service.
PLEASE NOTE THAT LEADPORT DOES NOT SUPPORT ANY EMERGENCY CALLS. THESE CALLS SHOULD BE PERFORMED FROM YOUR LOCAL PHONE SERVICE PROVIDER (FIXED OR MOBILE) IN CASE OF NECESSITY.
Because the Leadport Service relies on your third-party telephone service, any limitations in that service will also limit the manner in which you can use the Leadport Service.
14.FAIR USE POLICY
Leadport may offer currently or in the future plans on an "unlimited" use and/or "unlimited minutes" basis. All unlimited plans:
May only be used for normal business use.
Are provided only for live dialog between two individuals.
May not be used for any of the following prohibited uses:
Trunking or forwarding your Leadport number to another phone number(s) capable of handling multiple simultaneous calls, or to a private branch exchange (PBX) or a key system.
Auto-dialing or “predictive” dialing (i.e., non-manual dialing or using a software program or other means to continuously dial or place outbound calls).
Unlimited calls are capped at 1000 minutes per month. You can contact sales to get a custom plan for your account as per your expected usage.
In addition, Leadport is not recommended for massive bulk call-in lines (e.g., customer support or sales call centers) handling over hundreds of simultaneous calls, sports-line numbers, etc.
Leadport sets no limit to the number of calls received through the Leadport app. However, Leadport considers a fair use policy in the volume of communications forwarded to a mobile device according to the following limit:
(Purchased package of lead amount) *(5 voice minutes/month) in Leadport Pricing Plans
Forwarded inbound calls shall be invoiced to the Customer at the then applicable per minute rate.
When a customer reaches the above fair use limit, they will receive an alert message, and Leadport reserves its right to restrict call usage or take any other call limit measure. Calls will always be possible through the Leadport App.
These limits can be overcome by upgrading to a custom enterprise plan, which can be obtained by contacting [email protected].
Leadport reserves the right, upon prior notice, to disconnect or suspend your Service if Leadport determines that your use of the Service violates any point of the Fair Use Policy above.
In addition to other rules and regulations contained in these Terms of Use, you and anyone using your Leadport account are responsible for any use of Leadport whether by website or mobile device. You agree not to access, copy, or otherwise use Leadport Services unless such use is authorized by these Terms of Use or otherwise authorized in writing. You agree that any information you provide to Leadport is complete and accurate.
You will not use the Leadport Services in any illegal, abusive, interfering, or otherwise unacceptable or inappropriate manner, including:
To violate any law, regulation, or other published policy;
To violate or infringe on intellectual property, privacy, or rights of another;
To violate any agreement, rules, or policies that govern the use of your mobile device;
To transmit any content that is illegal, abusive, harassing, racist, hateful, or objectionable;
To transmit sexually explicit, pornographic, obscene, or objectionable content;
To sell, trade, resell, or exploit for any unauthorized commercial purpose or transfer any Leadport account;
To stalk, harass, or harm another individual;
To impersonate another, misrepresent, or falsely identify yourself;
To violate any applicable third-party policies or requirements that Leadport has communicated to you;
To engage in fraudulent activity, bypass phone identification systems, or spam users with unsolicited advertising;
To interfere with Leadport’s Service using unauthorized devices or software.
You agree to comply with all applicable laws regarding text messaging, telemarketing, and call regulations, including the Telephone Consumer Protection Act (TCPA), the Do-Not-Call Implementation Act, and other applicable laws. Leadport does not interpret laws but provides this as a courtesy. You are responsible for ensuring compliance.
15. QUALITY AND MAINTENANCE
Leadport will use reasonable endeavors to provide the Leadport Service with minimal disruptions. However, Leadport does not guarantee uninterrupted service due to reliance on public internet and telecommunications infrastructure.
Leadport may change technical features to comply with technological developments or legal requirements. Maintenance, upgrades, or repairs may require service restrictions or interruptions.
16. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and Conditions and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles. In the event of any disputes, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within 30 days, it shall be exclusively resolved in the state or federal courts located in New York, United States.
17. MODIFICATIONS TO THE AGREEMENT
We reserve the right to modify these terms at any time. Users will be notified of changes and continued use of our services constitutes acceptance of the updated terms.
18. FORCE MAJEURE
Leadport is not liable for failure to perform obligations due to circumstances beyond our control, such as natural disasters, government actions, or cyberattacks.
19. MISCELLANEOUS
If any provision of these terms is found invalid, the remaining provisions will continue in full force. Failure to enforce any right does not constitute a waiver.
